Terms of Service

1. Who we are

The Service is operated by Copythistune, based in Enugu State, Nigeria ("Copythistune", "we", "us", or "our"). You can reach us at support@copythistune.com.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service. By using the Service, you represent that you meet these requirements, that you are not barred from using the Service under the laws of Nigeria or your country of residence, and that you are not on any applicable sanctions list.

3. Acceptance of these Terms

By creating an account or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Refund Policy. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and "you" refers to both you and that organisation.

4. Description of the Service

Copythistune is a music marketing platform for artists, labels, and distributors. The Service may include:

• Smartlinks that aggregate streaming platform URLs into a single shareable link
• Pre-save links for upcoming releases on Spotify, Apple Music, and Deezer
• Bio link pages, short links, and custom links for tickets, merch, playlists, and DJ mixes
• Analytics and insights on link performance and audience engagement
• Tools for fans to send voluntary contributions to artists, processed by Flutterwave

We may add, change, suspend, or discontinue any feature at any time, with or without notice.

5. Accounts and registration

To use most of the Service you must create an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for keeping your credentials confidential and for all activity under your account. You may not share your account or transfer it to anyone else.

You must notify us immediately at support@copythistune.com of any unauthorised access. We may suspend or terminate any account at our discretion where we reasonably believe it is being used to violate these Terms, to commit fraud, or to put the Service or other users at risk.

6. Your content and licence to us

You retain ownership of all content you upload or create on the Service, including artwork, music metadata, copy, photos, and link configurations ("Your Content"). You grant Copythistune a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, distribute, and create technical derivatives of Your Content solely for the purpose of providing and improving the Service.

You represent and warrant that (a) you own Your Content or have obtained all rights, licences, and consents required to upload it, (b) Your Content does not infringe any third-party intellectual-property, privacy, publicity, or other right, and (c) Your Content does not contain anything illegal or in violation of any applicable law. We may remove or disable access to any content at any time if we believe in good faith that it may breach these Terms, infringe a third-party right, or expose us to legal risk.

7. Acceptable use

You agree not to, and not to attempt to:

• Upload or distribute content that is illegal, harmful, defamatory, hateful, or infringing
• Disrupt, overload, or interfere with the Service or any servers or networks connected to it
• Gain unauthorised access to the Service, other accounts, or any underlying systems
• Use the Service for spam, phishing, money laundering, or any other fraudulent activity
• Artificially inflate analytics, clicks, presaves, contributions, or engagement metrics
• Scrape, crawl, or extract data from the Service except via features we expressly provide
• Reverse engineer, decompile, or attempt to derive source code of the Service
• Upload malware, viruses, or any other harmful code
• Misuse, sell, transfer, or otherwise abuse OAuth tokens granted for pre-save flows
• Resell, sublicense, or redistribute the Service without our prior written consent

8. Streaming-platform connections (pre-save)

If you use a pre-save link, you (as the fan) authorise Copythistune to use the Spotify, Apple Music, or Deezer OAuth scopes you grant solely to add the relevant release to your library, likes, or favourites on the release date. We do not use those scopes for any other purpose. You may revoke this access at any time directly from the streaming service's account settings, which immediately invalidates the pre-save action. Your use of any third-party streaming service is also governed by that service's own terms.

9. Fan contributions

Fans may send voluntary monetary contributions to artists through the Service. Contributions are processed by Flutterwave under Flutterwave's own terms and privacy policy. Contributions are a voluntary form of support, not a purchase of goods or services, and are final upon successful payment except as set out in our Refund Policy. Copythistune is not party to any side arrangement between a fan and an artist.

10. Artist payouts and taxes

Where applicable, contributions are paid out to the receiving artist after deduction of any payment processor fees, refunds, chargebacks, or amounts owed to Copythistune. You are solely responsible for any income tax, VAT, withholding, or other tax arising from your use of the Service or any contributions you receive, and for providing any KYC information we or our payment partners reasonably request before releasing a payout.

11. Copyright and other infringement notices

We respect intellectual-property rights and expect users of the Service to do the same. If you believe that content on the Service infringes your copyright or other rights, send a notice to support@copythistune.com with the subject line "Copyright Notice", including:

• Identification of the work or right you claim has been infringed
• The URL or other location of the allegedly infringing material on the Service
• Your name, address, phone number, and email address
• A statement that you have a good-faith belief that the use is not authorised
• A statement, under penalty of perjury (or the equivalent under Nigerian law), that the information is accurate and that you are the rights holder or authorised to act on their behalf
• Your physical or electronic signature

We will remove or disable access to material we determine in good faith may be infringing within a reasonable time after receiving a complete notice, and we may terminate accounts of users who are repeat infringers.

12. Third-party services and links

The Service integrates with and links to third-party services including Spotify, Apple Music, Deezer, YouTube Music, Audiomack, Boomplay, Flutterwave, and others. We do not control, and are not responsible for, those services or the content they provide. Your use of any third-party service is at your own risk and is governed by that service's own terms.

13. Service availability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee that the Service will be uninterrupted, error-free, secure, or that any defect will be corrected. We may, at any time and without liability, change, suspend, withdraw, or restrict the availability of all or any part of the Service for maintenance, updates, security, or any other reason.

14. Disclaimer of warranties

To the maximum extent permitted by law, Copythistune disclaims all warranties, conditions, and representations, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, or quiet enjoyment. We make no warranty that the Service will meet your requirements, that any third-party platform connection will function, or that any analytics figures are accurate or audit-grade.

15. Limitation of liability

To the maximum extent permitted by law, Copythistune and its owners, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or in connection with the Service shall not exceed the greater of (a) the amount you paid us (if any) in the twelve (12) months before the event giving rise to the claim, or (b) NGN 50,000.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or wilful misconduct.

16. Indemnification

You agree to defend, indemnify, and hold harmless Copythistune and its owners, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to (a) Your Content, (b) your use of the Service, (c) your breach of these Terms, or (d) your violation of any law or third-party right. We may, at our option, assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defence.

17. Termination

You may delete your account at any time from your account settings or by contacting support@copythistune.com. We may suspend or terminate your account, or your access to all or part of the Service, at any time if we reasonably believe you have breached these Terms, if continued provision of the Service to you would expose us to legal or financial risk, or if we discontinue the Service.

On termination your right to use the Service ends immediately. Sections that by their nature should survive (including content licences already granted, payment obligations, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law) will continue to apply.

18. Dispute resolution

Informal resolution first. Before starting any formal proceeding, you agree to first contact us at support@copythistune.com with the subject line "Legal Notice" and a description of your claim, and to allow us 30 days from receipt to attempt to resolve the dispute in good faith.

Courts and venue. If the dispute is not resolved within that 30-day period, you and Copythistune agree that any claim arising out of or relating to the Service or these Terms shall be brought exclusively in the competent courts of Enugu State, Nigeria, and you submit to the personal jurisdiction of those courts.

No class actions; no jury trial. To the extent permitted by applicable law, you and Copythistune agree that disputes must be brought in an individual capacity only, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. Each party waives any right to a trial by jury.

Time limit. Any claim arising out of or related to the Service or these Terms must be filed within one (1) year after the claim arose, or it is permanently barred.

19. Governing law

These Terms and any dispute arising out of or in connection with them or the Service are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict-of-laws principles, and without application of the United Nations Convention on Contracts for the International Sale of Goods.

20. Force majeure

We are not liable for any failure or delay in performing our obligations under these Terms caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, pandemics, government action, labour disputes, internet or network outages, power failures, or failure of third-party services we rely on (including hosting, payment processing, and streaming platforms).

21. Severability

If any provision of these Terms is held to be unlawful, void, or unenforceable, that provision shall be deemed severed and shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect.

22. Entire agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Copythistune regarding the Service and supersede any prior or contemporaneous agreements on that subject.

23. Assignment

You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with any merger, acquisition, reorganisation, or sale of assets. Any assignment in breach of this section is void.

24. No waiver

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Copythistune to be effective.

25. Changes to these Terms

We may update these Terms from time to time. For material changes we will give at least 14 days' notice by posting a notice in the Service or by email to the address on your account before the change takes effect. Non-material changes (such as clarifications or typos) take effect when posted. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
